These Terms of Use ("Terms") govern your access to and use of the website located at visualbinary.com and any related applications, services, or content provided by Visual Binary Ltd ("Company," "we," "us," or "our").

By accessing or using our website and services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility

a. Age Requirement. You must be at least 18 years old (or the age of majority in your jurisdiction) to register for and use the Service. By agreeing to these Terms, you represent and warrant that you meet this requirement.

b. Authority. If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Registration and Account Security

  1. Account Creation. To access member-only content, you must create an account by providing a valid email address and a password. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

  2. Credentials. You are responsible for safeguarding your password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Subscriptions and Free Trial

  1. Subscription Plans. Access to exclusive content requires a paid subscription, available on a monthly or annual basis. The subscription fee and billing cycle will be displayed at the time of purchase.

  2. Free Trial. We offer a one-time, seven (7) day free trial to new subscribers. During the free trial, you will have full access to the Service. At the end of the trial period, your subscription will automatically convert to the paid plan you selected, and your payment method will be charged unless you cancel before the trial ends.

  3. Cancellation. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the then-current billing period. No refunds or credits will be provided for partial billing periods, except as required by law.

4. Payment Processing

  1. Stripe. All payments are processed by Stripe, Inc. ("Stripe"). By subscribing, you authorize Stripe to charge your chosen payment method. Your use of Stripe’s payment services is governed by Stripe’s Terms of Service and Privacy Policy.

  2. Billing. You agree to pay all fees and applicable taxes incurred by you or anyone using your account. If payment is not received or cannot be collected, and you do not cancel your subscription, we may suspend or terminate your access to the Service.

5. Content and Hosting

  1. Member-Only Content. VisualBinary provides bite-size videos and supplemental materials ("Content") breaking down stories in technology and business. All Content is exclusive to subscribers.

  2. Vimeo Hosting. Video content is hosted on Vimeo, Inc. ("Vimeo"). Your access to video content is subject to Vimeo’s Terms of Service.

  3. Framer & Thenty. Our website is built and hosted using Framer and Thenty. You agree that we may use these third-party services to deliver the Service.

6. License and Restrictions

  1. Limited License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Content for personal, non-commercial use.

  2. Restrictions. You shall not:

    1. Copy, redistribute, sublicense, or publicly display the Content;

    2. Remove any proprietary notices or labels;

    3. Reverse engineer, decompile, or disassemble any portion of the Service;

    4. Use the Service in any unlawful manner or for any illegal purpose.

7. Intellectual Property

All intellectual property rights in the Service, including but not limited to text, graphics, logos, videos, and software, are owned by VisualBinary or its licensors. Nothing in these Terms transfers any right, title, or interest in the Service to you.

8. User Conduct

You agree not to misuse the Service, including but not limited to:

  1. Interfering with the security or operation of the Service;

  2. Uploading viruses or malicious code;

  3. Attempting to gain unauthorized access to other users’ accounts;

  4. Posting or transmitting any unlawful, defamatory, or infringing material.

9. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL VISUAL BINARY, ITS AFFILIATES, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

11. Indemnification

You agree to indemnify and hold harmless VisualBinary and its affiliates from any claims, damages, losses, liabilities, or expenses (including lawyers’ fees) arising from your use of the Service or any violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and without notice. Upon termination, all licenses and rights granted to you under these Terms will immediately cease.

13. Changes to These Terms

We may modify these Terms at any time. When changes are made, we will update the "Last updated" date. Your continued use of the Service after any changes signifies your acceptance of the new Terms.

14. Governing Law

These Terms and any dispute arising out of or related to the Service will be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
